There will be a special resolution to accept the new Model Bylaws with some changes, in order for the Society to complete it’s transition to the new BC Societies Act.
Attached are the proposed bylaws, with suggested changes from the model bylaws highlighted in yellow.
Societies Act Transition for VGS
When we formed the Valemount Geothermal Society in the spring of 2016, before the new Societies Act came into full force, we intentionally did not make changes to the old “Schedule B” bylaws, because we intended to go with the new “Model Bylaws” provided in the new Act. The Model Bylaws are provided in Word format, with the intention that items can be added, changed, or removed, as required by the Society and members, so long as they still follow the rules under the Act and the Regulations.
In August 2017, the board discussed two changes to the Model Bylaws that we’d like to propose:
- Number of directors on Board (4.1) – must be no fewer than 3 and no more than 11, but we can set a smaller range – we suggest 5-7 board members.
- Election or appointment of directors (4.2) – this is where we can change the bylaws so that we set two-year terms, with staggered elections, rather than potentially electing a new board each year. This can add stabilityProposed bylaws for VGS 2017 to the board, and can help better set expectations of time commitments for board members.
If members have suggestions for other changes, please let us know ahead of the AGM, or bring your suggestions/proposals to the AGM for discussion.
